Last Updated: 14 October 2026

Contents

These Referral Program Terms ("Terms") govern participation in the Vaultody Referral Program (the "Program") provided by Vaultody Ltd. ("Vaultody", "we", "our", or "us").

By submitting an application to the Program, checking the acceptance box, or taking any similar action indicating assent, you ("Referrer", "you", or "your") agree to be bound by these Terms.

These Terms should be read together with the Privacy Policy, the Terms & Conditions, the Digital Wallet as a Service (DWaaS) Software as a Service Agreement, and other legal documents published by Vaultody.

If you do not agree with these Terms, you must not apply to or participate in the Program.

1. Definitions

In these Terms:

1.1 "Applicable Law" means all laws, regulations, and rules that apply to the Referrer, to Vaultody, or to the promotion of the Services, including advertising, consumer protection, data protection, anti-spam, and sanctions rules.

1.2 "Commission" means the amount Vaultody pays the Referrer for a Referred Client under Section 4.

1.3 "Commission Period" means the twelve (12) months starting on the date of a Referred Client's first paid Subscription Plan payment.

1.4 "Minimum Payout Amount" means one hundred US dollars (USD 100).

1.5 "Payout Method" means the bank account or digital asset address the Referrer registers in the Referrer Area to receive payouts.

1.6 "Referral Link" means the personal link Vaultody assigns to the Referrer.

1.7 "Referred Client" means a new Vaultody account attributed to the Referrer under Section 3.

1.8 "Referrer Area" means the Program area at referrals.vaultody.com where the Referrer applies, signs in, and manages its participation in the Program.

1.9 "Statement" means the monthly statement Vaultody issues to the Referrer under Section 5.

1.10 "Subscription Fees" means the subscription (plan) fees Vaultody actually receives from a Referred Client for its Subscription Plan, excluding VAT and other taxes.

Capitalized terms not defined in these Terms have the meanings given to them in the DWaaS Software as a Service Agreement.

2. Eligibility and Application

2.1 The Program is open to individuals aged eighteen (18) or over and to registered companies, including existing Vaultody customers.

2.2 To join the Program, you must apply through the application form in the Referrer Area and provide accurate, complete, and current information, including your legal name, country, entity type (company or individual) and, for companies, your VAT number.

2.3 Vaultody reviews every application and may approve or reject it at its sole discretion. Participation starts only when Vaultody confirms the approval by email.

2.4 Vaultody may refuse applications from persons located in jurisdictions where Vaultody does not offer the Services or where participation in the Program would breach Applicable Law.

2.5 Vaultody employees may not participate in the Program.

2.6 You are responsible for maintaining the confidentiality of your Referrer Area credentials and for all activities conducted through your account.

3. Referral Attribution

3.1 Vaultody assigns each Referrer a personal Referral Link.

3.2 A visit through a Referral Link is recorded for ninety (90) days. Where a visitor has clicked more than one referral link, the last referral link clicked determines attribution.

3.3 A referral counts only where it results in a new Vaultody account. The following are not attributed to the Referrer:

(a) accounts that existed before the visit through the Referral Link;

(b) the Referrer's own accounts (self-referral); and

(c) accounts under common control with the Referrer.

3.4 Vaultody's records shall determine attribution in the event of any dispute.

4. Commission

4.1 Vaultody pays a Commission because the Referrer introduced a paying client.

4.2 The Commission is thirty percent (30%) of the Subscription Fees Vaultody actually receives from each Referred Client during its Commission Period.

4.3 For a yearly Subscription Plan, the Commission applies once, to the yearly fee.

4.4 A different rate applies only where Vaultody and the Referrer agree it in writing. Vaultody then records that rate on the Referrer's account.

4.5 No Commission is due on usage-based fees, Transaction-Based Fees, fee optimization charges, network or energy fees, balance top-ups, or any other fee or amount that is not a Subscription Fee.

5. Statements and Payouts

5.1 On the first (1st) day of each month, Vaultody calculates the Commission earned in the previous calendar month and issues a Statement in the Referrer Area.

5.2 Where the amount payable under a Statement reaches the Minimum Payout Amount, Vaultody pays it within a reasonable period after the Statement is issued.

5.3 Where the amount payable under a Statement is below the Minimum Payout Amount, the balance carries over to the next Statement.

5.4 Payouts are made manually, by bank transfer or in the digital assets and on the networks offered in the Referrer Area, to the Payout Method registered at the time of payment.

5.5 A payment to the registered Payout Method discharges Vaultody's obligation for that Statement.

5.6 Vaultody bears the fees charged by its own bank and the network fees for sending a payout. Any fees charged by intermediary or receiving banks or payment providers are borne by the Referrer.

6. Payout Method Changes

6.1 The Referrer registers and changes its Payout Method in the Referrer Area.

6.2 A change of Payout Method requires two-factor authentication and confirmation by email, and takes effect only after a forty-eight (48) hour cooling-off period.

7. Taxes and Invoicing

7.1 Each Referrer is responsible for its own taxes on Commissions.

7.2 Referrers that are companies provide their VAT number in the Referrer Area.

7.3 Where Applicable Law permits, Vaultody issues the Statement as a self-billed invoice on the Referrer's behalf; otherwise, the Referrer invoices Vaultody against the Statement.

7.4 Vaultody may request tax information or forms reasonably required to make payouts.

8. Refunds, Chargebacks, and Forfeiture

8.1 If a Subscription Fee that earned a Commission is refunded or charged back, that Commission is deducted from the Referrer's next Statement, and any remainder carries over to later Statements.

8.2 Commissions obtained through fraud, fake accounts, self-referral, or breach of these Terms are forfeited, and Vaultody may recover amounts already paid.

9. Promotion Rules

When promoting Vaultody, the Referrer shall:

(a) describe Vaultody accurately, as non-custodial MPC wallet infrastructure, and never as a bank, a holder of client assets, or an investment product;

(b) make no promise of returns;

(c) clearly disclose the referral relationship in every promotion;

(d) not send unsolicited messages (spam);

(e) not use the Vaultody name, logos, or other trademarks except as provided in the launch kit in the Referrer Area or as otherwise permitted by Vaultody in writing; and

(f) comply with Applicable Law, including advertising, consumer protection, data protection, and anti-spam rules.

10. Confidentiality and Data

10.1 Vaultody does not disclose the identity of a Referred Client or what it pays.

10.2 The Referrer sees each Referred Client only as an anonymous label with its sign-up date, status, and the months left in its Commission Period, and sees Commissions only as totals per month and per Statement.

10.3 The Referrer receives no client names, plan names, prices, or per-client payment amounts.

10.4 Vaultody processes the Referrer's personal data in accordance with its Privacy Policy.

11. Suspension and Termination

11.1 Either party may end the Referrer's participation in the Program with thirty (30) days' written notice.

11.2 Vaultody may suspend or end the Referrer's participation immediately for breach of these Terms or suspected fraud.

11.3 Commissions earned before participation ends are paid on the following Statements, unless they are forfeited under Section 8.

12. Changes to These Terms

12.1 Vaultody announces changes to these Terms thirty (30) days in advance. Updated versions are published in the Referrer Area and become effective on the date specified in the updated version.

12.2 Continued participation in the Program after that date constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria.
